By-laws are the rules of the organization that dictate all facets of the organization’s structure and operation. By-laws set up the board and other organizational positions and the responsibilities of each position. The by-laws also dictate the focus of the organization and how the organization will reach its goals. By-laws typically are very detailed to help prevent any foreseeable problems. Details may include, but not be limited to, how long a particular board member may serve, election procedures, meeting times, consequences of a member not fulfilling his responsibilities, and rules for making changes to the by-laws.
Below please find a link to a sample model for by-laws. However, bear in mind that, although most have the same basic rules, every state has its own by-law rules for nonprofit corporations. Please check with your state to make sure you are consistent with state law.
